Gallant Capital Partners (“Gallant”), an operationally focused private investment firm, announced that funds managed by Gallant have established additional term loan commitments under one of Lumileds Holding B.V.’s (“Lumileds” or the “Company”) existing senior secured term loan credit facilities. The commitments are intended to provide additional liquidity to support the Company’s operations and strategic initiatives. On August 18, 2026, funds managed by Gallant acquired a majority position in the Company’s senior secured term loan facilities through purchases of existing loans. Lumileds is a global leader in LED and microLED technology for the automotive, display, illumination, and mobile markets. Chuck Swoboda, former Chairman and Chief Executive Officer of Cree, Inc., has participated alongside Gallant in connection with the transaction.

Transaction Details

The additional loan commitments are intended to support Lumileds’ investments in product development, supply continuity, on-time delivery, and its multi-year product and technology roadmaps. Lumileds’ existing leadership continues to manage the business and its customer programs. Gallant’s August 18 debt acquisition through funds it manages involved transfers of existing loans among secondary market participants and did not change Lumileds’ corporate governance structure.

Drawing on more than a century of lighting innovation, Lumileds designs and manufactures light sources for applications where performance, reliability, and safety are essential. The Company’s approximately 3,500 employees operate in over 15 countries and serve leading automotive OEMs and tier-one suppliers, display and mobile device manufacturers, and illumination customers worldwide. Lumileds continues its shift toward higher-value advanced packaging and systems integration — a differentiated capability within the industry.

Additional term loan commitments from funds managed by Gallant are intended to support the Company’s liquidity and ongoing transformation, including investments in innovation, operational improvement, and the programs Lumileds’ customers depend on. Gallant intends to draw on its operating resources and industry relationships — including Mr. Swoboda’s three decades of experience in the LED industry — to support Lumileds’ management team.

“Lumileds is a technology leader with deep customer relationships and engineering capabilities that are difficult to replicate,” said Jon Gimbel, Partner at Gallant. “Our investment reflects confidence in the Company’s business fundamentals and long-term growth trajectory. The additional financing is intended to support Lumileds as it executes multi-year customer programs and invests in the product roadmaps those programs depend on. We are pleased to support the Lumileds team as they execute the next phase of this transformation.”
“This is the kind of situation Gallant was built for — supporting a market-leading business with real technical differentiation that can benefit from an aligned capital structure and management advice,” added Anthony Guagliano, Partner at Gallant.
“We intend to support Lumileds’ management team as it strengthens manufacturing performance and advanced packaging capabilities and maintains dependable supply for customers,” said Josh Carter, Managing Director at Gallant.
“I have spent my entire career in this industry, and Lumileds has consistently been at the forefront of LED innovation,” said Chuck Swoboda, former Chairman and Chief Executive Officer of Cree, Inc. “I am participating alongside Gallant because I believe in the team, the technology, and the opportunity to build an even stronger global LED leader.”

Greenhill, a Mizuho affiliate, served as exclusive financial advisor to Gallant in connection with the transaction.

Financial terms of the transaction were not disclosed.
